Commercial Fleet Services Provider Expands Its Reach Nationwide

Since 2016, Maslon has served as outside general counsel and lead M&A counsel for Epika Fleet Services, Inc., a privately owned, nationwide network of mobile and in-shop preventative maintenance service centers serving commercial fleets across the country.
Over the past decade, Epika has engaged in a significant volume of acquisitions and strategic partnerships to expand its reach in the trucking service industry throughout the United States, now with nine distinct brands, 12 quick service preventative maintenance locations, nine full-service repair and maintenance facilities, 33 branch locations operating mobile service units, and a 24/7 dispatch center with over 1,500 service providers in its network.
Maslon has served as lead counsel for Epika in over 30 transactions to date—including acquisitions and strategic partnerships, real estate deals and lease negotiations, private placements, internal and external financing arrangements, and technology agreements—and has also represented the client in litigation and provided counsel on corporate governance, labor and employment matters, trademark and other intellectual property matters, and privacy and cybersecurity.
Recent experience includes:
- Representing Epika in the purchase of Prestige Fleet Services, LLC. Deal closed March 2024.
- Representing Epika in a financing arrangement with Monroe Capital Management Advisors, LLC. Deal closed March 2024.
- Representing Epika in the acquisition of all of the stock of Managed Mobile, Inc., expanding Epika’s fleet repair and mobile service reach in the southwestern United States. Deal closed November 2022.
- Representing Epika in the acquisition of Fleet Mobile Maintenance, Inc., strengthening Epika’s presence in the Midwest through additional mobile service offerings in Michigan, Indiana, Ohio, Kentucky, and Tennessee. Deal closed October 2022.
- Representing Epika in its strategic partnership with Downtime Fleet, Inc., expanding Epika’s emergency roadside service capabilities throughout the United States. Deal closed September 2022.
- Representing Epika in its strategic partnership with CS Truck & Trailer Repair, Inc., strengthening Epika’s presence in greater Atlanta and its service offerings in both mobile and in-shop maintenance and repair. Deal closed July 2022.
