Maslon represented Minnesota-based Tactacam, owner of REVEAL Cellular Cameras used by outdoor sports enthusiasts and landowners, in its sale to private equity firm Bertram Capital. The deal closed on May 1, 2023.

The deal was valued at approximately $700 million, with a rollover by sellers to the buyer of approximately 50% of the outstanding value at closing. Bertram Capital was represented by Perkins Coie LLP.

The sale required multiple stages of restructuring to ensure certain taxation benefits, including the completion of a redemption, two separate F reorganizations, and an asset sale prior to closing. The deal was also unique because the seller remained as a 50% owner post-sale, resulting in significant negotiation of protective provisions for our client.

The REVEAL cameras, when paired with the REVEAL mobile app, provide digital support for scouting, monitoring, and security applications in all-weather environments. Through its sale, Tactacam will grow and develop its business, which enables outdoor sports enthusiasts and landowners to track, monitor, and protect property and game.
