The Valspar Corporation: Successful Global Expansion & Public Offerings

The Valspar Corporation (Valspar), a Minneapolis-based company with over $4 billion in annual sales, is a New York Stock Exchange-listed leader in the paint and coatings industry. Valspar has financed its global expansion in part through a series of public offerings of equity and debt securities. Since 1993, Marty Rosenbaum has served as securities counsel to Valspar, working closely with Valspar’s in-house counsel and treasury department on these public offerings to raise well over $1 billion for the company.
In 2012, Maslon served as lead counsel to Valspar in an international public debt offering of $400 million in senior notes. Teaming with Leah Fleck, Marty Rosenbaum helped Valspar take advantage of favorable market conditions, including interest rates. The lead underwriters were Deutsche Bank Securities, Mitsubishi UFJ Securities, and U.S. Bancorp. Marty advised Valspar on disclosure matters in the offering, leveraging their knowledge of the business gained through many years of experience in advising them on their public reports. The Maslon team also successfully negotiated the agreements with the underwriters.
