Overview

Sam Cook focuses his corporate law practice on general commercial contract drafting, mergers and acquisitions, and general counsel services. Sam's varied practice includes everything from forming and counseling start-up companies to drafting complex international trademark licensing agreements.

Sam graduated summa cum laude from the University of St. Thomas School of Law, where he attended on a full-tuition scholarship. He also served as a senior editor of the University of St. Thomas Law Journal. Sam has a bachelor's degree in political science from the University of Minnesota, Twin Cities. Prior to his undergraduate studies, Sam played guitar in an alternative rock band.

Experience

  • Represents start-ups in connection with entity formation, corporate governance, fund-raising, drafting commercial agreements, and developing strategies for growth.
  • Works with in-house legal counsel in connection with commercial contract drafting and negotiations (with suppliers, vendors, agencies, distributors, customers, etc.) relating to advertising, intellectual property, manufacturing, management services, consulting, information technology, licensing, software development, and other complex national and multi-national commercial matters. 
  • Represents intellectual property owners in connection with registration and licensing matters.
  • Represents clients in private financing transactions, including debt and equity offerings. 
  • Works as outside general corporate counsel for emerging growth, medium, and large private companies on a variety of commercial matters. 
  • Counsels newly formed business entities regarding organizational matters, including drafting shareholder agreements, limited liability company operating agreements, partnership agreements, and other governing documents.
  • Assists established businesses in connection with corporate re-structuring or sale transactions, including mergers, conversions, and stock or asset sale transactions.
  • Helps businesses navigate and resolve discrete issues and controversies to avoid litigation.
