Hemisphere Companies: Joint-Venture and Specialized Transactional Work

Hemisphere Companies is a Minnesota-based group of entrepreneurial companies involved in a variety of industries including gaming development and management, restaurant, real estate, and swim lesson instruction (under the "Bear Paddle" trade name). Over the course of many years, Maslon attorneys Paul Chestovich and Brian Klein have provided counsel, negotiation and customized investment, loan and corporate documentation for Hemisphere in connection with a variety of transactions in which Hemisphere has spearheaded the development of, and managed, gaming establishments.

In addition, Paul and Brian have helped Hemisphere consummate a variety of other investments and joint-venture transactions that Hemisphere has undertaken to diversify its industry exposure, all while learning the key features and legal issues relating to new industries and protecting Hemisphere’s highly regulated core gaming and entertainment businesses. Paul also provides general corporate and business advice to Hemisphere in its partnering and consulting arrangements, separation matters, incipient disputes, and ownership buy-sell arrangements.

In July 2013, Paul and Brian assisted Hemisphere with the consummation of a new gaming development and management project in Manitoba, Canada, that included complex and tax-efficient international corporate structures, financing arrangements, and sovereign First Nations (native tribe) involvement.
