As a corporate lawyer with more than 20 years of business and legal experience, Doug represents clients in a broad range of industries, with a particular focus in the technology and the restaurant/retail sectors. He also acts as a value-conscious general counsel for companies, coordinating and utilizing other Maslon lawyers when needed with employment, litigation, real estate, or technology expertise.

Doug helps companies achieve their potential by prudently managing risk while "right-sizing" legal services to minimize expenses. He's had the privilege of working with a broad range of businesses along the way—including a few companies that had good technology or business plans, but did not reach their potential due to missed opportunities for growth or other missteps—and draws from it all to help guide his clients forward.

For emerging and venture-backed businesses, he assists with strategy, corporate structuring, raising capital, negotiating contracts, and mergers/acquisitions. Several of Doug's clients were financed at some stage by venture capital, private equity firms, or strategic corporate investors, and Doug has considerable experience in structuring these transactions in addition to more routine "retail" private placements. He helps more mature businesses in raising further growth capital, contracts, mergers/acquisitions, and board/corporate governance counseling.

Doug served as chair of Maslon's Business & Securities Group from 2001 to 2007 and 2014 to 2016. In addition, Doug was a member of Maslon's Governance Committee (i.e. its executive committee) from 2007 to 2013, and served as Maslon's chair in 2012 and 2013. Doug has also served on the Board of Directors of Meritas, an international law firm network with over 7,000 lawyers in 80 countries. In addition, he has served on several strategic planning committees, for both Maslon and Meritas, as well as client advisory groups. Doug also attended the Aspen Institute in 2013, participating in the Institute's noted Aspen Seminar, a premier roundtable on leadership.

Doug is married, has four children, and lives in St. Paul.

Technology

  • Cima Nanotech – Doug works extensively with this Singapore-based developer of nanotechnology conductive coatings for use in manufacturing sectors. In addition to helping with several rounds of private placements, including joint ventures/investments with Japanese/Korean/Singaporean investment companies or manufacturers, Doug has helped negotiate various complex agreements with some of the company's business partners.
  • Hennepin Life Sciences – Doug works with this Minneapolis-based pharmaceutical development and licensing company on its equity financing and license agreements.
  • Semaphore Scientific, Inc. – Doug is assisting this development stage 1 company in its initial/"non-founder" equity raise and with contracts.
  • Acuo Technologies, Inc. – For this Minnesota-based healthcare software company, Doug has assisted in private placements, contracts, and served as main corporate counsel through the company's sale in December 2012.
  • DestinationRx – For this Los Angeles-based healthcare/technology company, Doug worked extensively on the company's Series A Preferred Stock offering led by a healthcare venture capital firm. Doug served as main corporate counsel through the company's sale in early 2013.

Restaurant/Retail

  • Kona Grill – Doug serves as corporate counsel to this Scottsdale-based publicly traded chain of over 30 sushi/grill restaurants, assisting with Kona Grill's $48 million 2014 equity offering, $25 million debt financing, and other corporate transactions.
  • Williston Holding Company/Mexican Restaurants, Inc. – Doug is working with this Houston-based company organizing its equity and debt financing and assisting in the company's acquisition or development of four restaurants in Williston, North Dakota. Doug also assisted in the company's reverse merger with Znomics and the company's acquisition of Mexican Restaurants, Inc., a restaurant company with over 57 restaurants in Texas, Louisiana, and Oklahoma.
  • Rainforest Cafe – Doug's first task at Maslon 20 years ago was working with an entrepreneur to raise capital for a restaurant concept that would include live birds. That concept became the popular Rainforest Cafe. Doug worked closely with the company through its private placements, successful initial public offering, and two follow-on public offerings. Doug has also provided corporate and securities counsel and worked with Rainforest Cafe through its proposed mergers and subsequent sale via tender offer to Landry's Restaurants, Inc.
  • T-Rex Cafe – Another "big box"/themed restaurant company with units in Disney Orlando, Doug worked with the formation and expansion of this company which included a substantial capital investment.
  • Schussler Creative/Creative Attractions – Doug works with Steve Schussler, a creative restaurant developer, with many new concepts such as "Hot Dog Hall of Fame" and the "Boat House," both located in major theme parks in the Orlando area.
  • Juut Salonspa – Doug works extensively with this Minneapolis-based upscale salon business (7 units), assisting in contract negotiations and general corporate counseling.
  • Lexington Restaurant Group – Doug worked with the principal owners and management team to assist them in structuring a financing round.

Other

  • Benovate Holdings, Inc. – Doug serves as outside corporate counsel to this health care technology company.
  • BRS – Doug has worked extensively with this manufacturer of aircraft parachute recovery systems for over 17 years. For BRS, Doug has helped in the raising of new equity, acquiring other companies, securities and corporate counseling, and negotiating agreements.
  • Hy-Capacity – Doug assists this Iowa-based privately held manufacturer of agricultural parts by working on acquisitions, contracts with the company's distributors, and providing general corporate counseling.
